Terms & Conditions

As a manufacturing company, Win’o is committed to providing transparent and fair terms and conditions for our clients. Our terms and conditions outline the rules and guidelines for the use of our precision machining and casting solutions. These terms govern the relationship between Win’o and our clients, ensuring a clear understanding of our services and the responsibilities of both parties.

 

1. General

These Terms and Conditions apply to all sales of all machined products manufactured by  Win'o New Energy Co. Ltd, No.14, Guoke Zhigang Industrial Park, Yudong Town, Haimen District, Nantong City, Jiangsu Province, China ("we," "us") to you ("Customer"). By placing an order, you agree to these terms. Any changes must be written and signed by both parties.

 

2. Orders and Delivery

- Orders are binding once we confirm them in writing.

- Goods are shipped CIF (Incoterms 2020) to the agreed port. We cover costs, insurance, and freight to the port; risk of loss or damage transfers to you when the goods are unloaded from the vessel

- You are responsible for the costs for unloading, customs clearance, import duties, taxes, and onward transport from the destination port.

- Delivery dates are estimates. We are not liable for delays due to unforeseen events (e.g., supply issues, natural disasters).

- You must inspect goods within 14 days of the ship docking at the destination port and notify us of any defects in writing, or claims are waived.

 

3. Payment

- Payment is due as per the agreed terms.

- Credit levels offered are determined based on assessments by the China Export & Credit Insurance Corporation (Sinosure).

- Late payments incur 1.5% interest per month. You cover any collection costs.

- We retain ownership of goods until full payment is received.

 

4. Intellectual Property Warranty

- You confirm that the designs, specifications, or products you provide or request to be made do not infringe any third-party intellectual property rights (e.g., patents, trademarks).

- You indemnify us against any claims, costs, or damages arising from IP infringement related to your designs or specifications.

 

5. Limited Warranty

- We warrant that our machined components meet the agreed specifications at the time of delivery.

- If defective, we will, at our option, replace the product or refund their purchase price, provided you notify us within 14 days of the ship docking at the destination port.

- No other warranties (express or implied) apply.

 

6. Limitation of Liability

- Our liability is limited to the purchase price of the castings.

- We are not responsible for costs, damages, or losses (including product recalls, assembly failures, or consequential damages) arising from the use of our castings in your products or systems.

- We are not liable for indirect, special, or punitive damages.

 

7. Tool/Fixture Ownership

- Tooling/Fixture is invoiced at 50% in advance and 50% within 30 days of sample dispatch.

- Ownership of the fixture/tools transfers to you upon receipt of the final 50% payment.

- We retain the right to request removal of unused tools. If you fail to respond within 30 days of our written request, we may scrap the tools without liability.

 

8. Packaging

- Unless you specify packaging requirements at the Request for Quotation (RFQ) stage, we will provide standard packaging suitable for the goods and export requirements.

- Any special packaging requested will be subject to additional costs as agreed in the order.

 

9. Design Changes

- Any design changes you request, including those discussed through translated communication, must be confirmed by you providing updated 2D drawings and 3D models.

- We will confirm the feasibility, additional costs, and timeline adjustments in writing. Changes are subject to mutual agreement.

 

10. Compliance and Import

- You are responsible for ensuring the products comply with local regulations after delivery, including import duties, taxes, and customs clearance.

- We comply with Chinese export laws and provide export documents and insurance certificates as required under CIF terms.

 

11. Force Majeure

We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, wars, strikes, or government actions).

 

12. Governing Law and Disputes

- These terms are governed by the laws of China.

- Disputes will be resolved in the courts of [City, China, e.g., Shanghai] or through arbitration if agreed.

 

13. Miscellaneous

- These terms are the entire agreement. Any prior agreements or verbal promises are void.

- If any term is invalid, the rest remain effective.

- Notices must be in writing and sent to the addresses in the order.

- Communications facilitated by AI translation tools are provided for convenience. Any agreements or instructions, including those related to design, tooling, or packaging, must be confirmed with written documentation (e.g., 2D/3D drawings, specifications) to be binding. We are not liable for errors arising from translation inaccuracies.
